| | Wallace, Idaho -- April 14, 2008 -- (Marketwire) - Sterling Mining Company (TSX:SMQ / OTCBB:SRLM / FSE:SMX) announces that it has commenced an equity financing of up to US$5 million by way of non-brokered private placement. The placement will consist of 2,083,334 units at US$2.40 per unit.
Each unit will be comprised of one common share, a one-half common share purchase "A" warrant, and a one-half common share purchase "B" warrant. Each whole share purchase "A" warrant is exercisable for one common share at $3.40 per share for 18 months from the date of closing. Each whole share purchase "B" warrant is exercisable for one common share at $4.10 per share for 36 months from the date of closing. As proposed, Sterling Mining will undertake to file a registration statement in the United States under the Securities Act of 1933 to register for resale the shares of common stock, including common stock underlying the warrants, issued in the private placement.
Empire Financial Group ("Empire") of San Francisco will act as placement agent in the United States in connection with the placement. The Company will pay a placement fee in cash of 7.0% of the gross proceeds of the placement, and has agreed to pay a similar fee in cash of 7% on the gross proceeds of warrants exercised, if, and when exercised. In addition, Empire will receive up to 200,000 common share purchase warrants exercisable at $3.40 for 18 months from the date of closing.
The financing is subject to board and regulatory approval.
Proceeds from the financing will be used by the Company to purchase underground diesel equipment, accelerate exploration activities and for general working capital. The 2008 equipment purchases scheduled to arrive in the first half of the year are in addition to $3.8 million in underground diesel equipment received in 2007, which is currently being used for production activities on the 3100 level at the Sunshine Mine.
Any portion of the placement offered in the United States will be made only to institutional and accredited investors in a transaction exempt from the registration requirements of the Securities Act of 1933. Any securities sold in the placement have not been registered under the Securities Act of 1933, or any state securities laws, and unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act of 1933 and applicable state securities laws.
